By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms, policies, and guidelines referenced herein.
3. Changes to Terms
We may modify these Terms at any time. Continued use of the Services after changes are posted constitutes your acceptance of the new Terms. You should review this document periodically.
4. Account Registration and SecurityEligibility: You must be at least 18 years old and capable of entering into a binding agreement.
Account Information: You agree to provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or abusive behavior.
5. Service Description
The DM’s Ark provides AI-powered tools for Dungeon Masters, including session transcription, campaign history management, AI-driven querying, and document storage. The Services are offered on a subscription basis with tiered feature access.
6. User Content
Ownership: You retain ownership of all Content you upload. By uploading or generating Content via the Services, you grant the Company a worldwide, royalty-free, sublicensable license to host, store, and use your Content solely to provide and improve the Services.
Responsibility: You are solely responsible for the legality, reliability, accuracy, and appropriateness of your Content. You agree not to upload or share any Content that is illegal, infringing, harmful, or violates any third-party rights.
Removal: We may remove or disable access to any Content that violates these Terms or is subject to a valid takedown request.
7. Subscriptions and Fees
Plans: We offer multiple subscription plans (e.g., Free, Pro, Enterprise). Features and pricing are detailed on our website.
Billing: Subscription fees are billed in advance on a recurring basis. All payments are non-refundable except as required by law.
Changes: We may change pricing or add new fees upon notice. Existing subscribers will be notified before changes take effect.
8. Termination and Suspension
By You: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle.
By Us: We may suspend or terminate your access, disable your account, and delete your Content if you breach these Terms or for security or legal reasons.
Effect of Termination: Upon termination, your right to use the Services immediately ceases. Your Content may be deleted after 30 days unless you export it beforehand.
9. Proprietary Rights
Company IP: The DM’s Ark and all associated logos, trademarks, service marks, and content are the property of the Company or its licensors and are protected by copyright, trademark, and other laws.
Feedback: Any suggestions or feedback you provide regarding the Services may be used by us without obligation to you.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available” without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, in no event will the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms or your use of the Services.
13. Governing LawThese Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising hereunder will be resolved in the state or federal courts located in Denver County, Colorado.
14. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Services.
Severability: If any provision is found invalid, the remaining provisions remain in full force and effect.
Waiver: The failure to enforce any right does not constitute a waiver.
